Process

How ValuBase Works

ValuBase follows a disciplined five-step process, mirroring how a corporate-finance professional would approach a valuation — but in minutes, in your browser.

The five steps

From profile to indicative valuation

  1. 01

    Business Profile

Enter the company name, location, sector, subsector and business size. These inputs establish the market context used to calibrate the valuation.

  2. 02

    Financial Performance

Provide three years of revenue, gross profit, operating profit and other financial information. ValuBase calculates reported EBITDA and relevant performance measures automatically.

  3. 03

    EBITDA Adjustments

Normalise reported earnings for owner remuneration, exceptional costs, non-recurring income and other adjustments. Then select the appropriate method for estimating maintainable EBITDA.

  4. 04

    Business Quality

Assess the factors that can influence value, including market position, customer quality, operational dependence and saleability. Customer concentration is also incorporated into the assessment.

  5. 05

    Valuation

Review the indicative Enterprise Value range and the components behind it, including maintainable EBITDA, market calibration and company-specific adjustments. Optional market-condition and advanced adjustments can then be applied where appropriate.

Valuation logic

From financial performance to indicative value

ValuBase does not simply apply a generic multiple to the latest reported EBITDA. The valuation is built progressively from the company's financial performance, market context and business-specific characteristics.

Normalise

Establish sustainable earnings

Reported earnings are adjusted for relevant one-off, owner-specific and non-recurring items to establish an adjusted earnings base.

Maintainable EBITDA

Estimate the earnings a buyer may value

Maintainable EBITDA is derived using the selected latest-year, weighted-average, simple-average or manual methodology.

Market calibration

Calibrate the valuation multiple

Business size, sector and subsector are used to establish a market-calibrated EBITDA multiple rather than relying on a single generic SME multiple.

Business-specific

Reflect quality and risk

Business quality, customer concentration and any applicable market-condition adjustments refine the valuation for the characteristics of the individual company.

The output

More than a single valuation number

The result is presented as an indicative Enterprise Value range, together with the principal assumptions and adjustments used to derive it.

Indicative valuation range

See conservative, midpoint and optimistic Enterprise Value estimates rather than relying on a single point estimate.

Valuation bridge

See how maintainable EBITDA, the market-calibrated multiple and business-specific factor combine to produce the midpoint valuation.

Key valuation drivers

Review the factors having the greatest positive and negative influence on the valuation.

Printable valuation report

Generate a structured report summarising the financial analysis, adjustments, market calibration, business-quality assessment and valuation conclusion.

Transparent by design

See how the valuation is constructed

ValuBase is designed to make the assumptions behind an indicative valuation visible. The user can review the maintainable EBITDA methodology, market calibration, business-quality assessment and other adjustments rather than receiving an unexplained headline figure.

Financial assumptions

Historical performance and EBITDA adjustments remain visible throughout the valuation process.

Market assumptions

The size, sector and subsector calibration used in determining the valuation multiple is shown in the results.

Business-specific assumptions

Quality, concentration and discretionary adjustments are separately identified so their effect on value can be understood.
